TERMS OF USE
Welcome to Mì-Mì.
These Terms of Use (“Terms”) govern your access to and use of websites, applications, film and project pages, viewing experiences, accounts, communities and other products and services operated by MAZP Inc., doing business as Mì-Mì and Mì-Mì Labs (“Mì-Mì,” “we,” “us” or “our”) (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Mì-Mì
Mì-Mì is a platform for discovering, watching and engaging with films, stories, creators, communities, events and other cultural projects.
Certain content available through Mì-Mì may be produced, distributed, published or presented by Mì-Mì Labs or in collaboration with filmmakers, creators, distributors, cultural organizations and other partners.
The availability of particular features, content and services may change over time.
2. Eligibility
You must be at least 13 years old to create an account or submit personal information through Mì-Mì.
Certain films, communities, events or other experiences may have additional eligibility requirements or age restrictions.
If you use Mì-Mì on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
Certain Mì-Mì features may require an account.
You are responsible for providing accurate information, maintaining the security of your account credentials and activity occurring through your account.
You may not impersonate another person, create an account using information you are not authorized to use, or allow another person to use your account in a manner that violates these Terms.
4. Content Availability
Films and other content may be available only for particular periods, in particular territories or subject to other restrictions.
Availability may change because of licensing, distribution, legal, technical or other requirements.
Access to one title does not guarantee continued or future access to that title or any other content.
5. Intellectual Property
The Services, including their design, software, branding, text, graphics and other materials created or owned by Mì-Mì, are protected by intellectual property laws.
Films, photographs, artwork, music, writing and other content available through Mì-Mì may be owned by Mì-Mì or by filmmakers, creators, licensors and other rights holders.
Unless expressly permitted, accessing content through Mì-Mì does not give you ownership of that content or permission to reproduce, download, distribute, publicly exhibit, modify, commercially exploit or otherwise use it outside the Services.
6. Personal and Non-Commercial Use
Unless we expressly state otherwise, access to films and other content through Mì-Mì is for your personal, non-commercial use.
You may not record, reproduce, redistribute, publicly exhibit, sell, sublicense or commercially exploit content made available through Mì-Mì without permission from the applicable rights holder.
7. Communities and User Content
Mì-Mì may allow users to create profiles, communities, reviews, comments, messages and other content (“User Content”).
You retain ownership of User Content you create.
By submitting User Content to Mì-Mì, you grant Mì-Mì a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display and otherwise use that content only as reasonably necessary to operate, provide, promote and improve the Services and the features through which you submitted it.
You are responsible for ensuring that you have the rights necessary to submit your User Content.
You may not submit content that is unlawful, infringing, fraudulent, threatening, harassing, hateful, abusive, intentionally deceptive, invasive of another person's privacy, or otherwise violates these Terms or applicable community rules.
We may remove or restrict content or accounts where reasonably necessary to operate or protect the Services, enforce these Terms or comply with law.
8. Private Messages
Mì-Mì may offer private messaging or other communications between users.
You may not use these features to harass, threaten, spam, defraud or otherwise harm another person.
Although private messages are not publicly displayed, Mì-Mì may process or access them as described in our Privacy Policy, including where reasonably necessary to operate the feature, respond to reports, maintain safety and security, enforce these Terms or comply with law.
9. Purchases
Mì-Mì may offer paid content, tickets, products or other services.
Any applicable price and material purchase terms will be presented before you complete a transaction.
Certain transactions may be processed by third-party payment providers and may be subject to additional terms disclosed at checkout.
10. External Services
Mì-Mì may link to services operated by other companies, including ticketing platforms, merchandise stores, donation platforms and partner websites.
Those services are operated under their own terms and privacy practices. Mì-Mì is not responsible for third-party services merely because we provide a link to them.
11. Donations
Mì-Mì may provide links or tools allowing users to support organizations, causes or projects.
Unless expressly stated otherwise, Mì-Mì does not control how an independent recipient organization uses donated funds.
Applicable donation terms will be disclosed through the relevant experience or provider.
12. Prohibited Uses
You may not:
interfere with or attempt to compromise the security or operation of the Services;
access accounts, systems or data without authorization;
scrape, harvest or systematically extract content or user information except where expressly permitted by law;
circumvent territorial, access or security restrictions;
use automated systems to abuse the Services;
infringe intellectual property or other rights;
use Mì-Mì to distribute spam, malware or unlawful material; or
use the Services in a way that violates applicable law or these Terms.
13. Suspension and Termination
We may restrict, suspend or terminate access to the Services where reasonably necessary because of violations of these Terms, security or safety concerns, legal requirements or material misuse of the Services.
You may stop using Mì-Mì or close your account at any time.
14. Changes to the Services
Mì-Mì is evolving.
We may add, modify or discontinue features, content or services. Where legally required, we will provide appropriate notice of material changes affecting users' rights.
15. Disclaimers
The Services are provided on an “as is” and “as available” basis to the extent permitted by law.
We do not guarantee that every feature or piece of content will always be available, uninterrupted or error-free.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
16. Limitation of Liability
To the fullest extent permitted by applicable law, MAZP Inc., doing business as Mì-Mì and Mì-Mì Labs, and its affiliates, officers, directors, employees, agents and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenues, data, goodwill or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Services.
To the fullest extent permitted by applicable law, the total liability of MAZP Inc. and the foregoing parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to Mì-Mì for the applicable Service during the twelve months preceding the event giving rise to the claim or (b) US $100.
The limitations in this section do not apply to liability that cannot lawfully be limited or excluded, including where applicable liability arising from fraud, willful misconduct, gross negligence, or violation of applicable law, or to any rights or remedies that cannot be waived under applicable consumer protection law.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations above will apply only to the fullest extent permitted by law.
17. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims arising from User Content you submit or your material violation of these Terms.
18. Governing Law and Disputes
18.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
18.2 Venue and Jurisdiction. The parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any action or proceeding arising out of or relating to this Agreement, and waive any objection to venue in those courts.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice where required by law.
The “Last Updated” date above indicates when these Terms were most recently revised.
